1. Agreement to Terms
These Terms of Service ("Terms") govern your use of Redsited's website management services. By engaging our services or using our website, you agree to be bound by these Terms. If you do not agree, do not use our services.
Redsited is a 100% Indigenous-owned Canadian company operating from Winnipeg, Manitoba. These Terms are governed by the laws of Manitoba and Canada.
2. Service Description
Redsited provides managed website services for local service businesses. Our offering includes:
- Website design, development, and deployment
- Ongoing hosting and maintenance
- SEO optimization and local search management
- Content updates and technical support
- Performance monitoring and improvements
We do not sell websites — we provide a managed service. You pay a monthly fee for ongoing access to your website. If you cancel service, the website and all associated assets revert to Redsited and are taken offline.
3. Service Model
No Upfront Cost
We build your website before first contact. There is no upfront development fee. You only pay if you choose to activate the service.
Monthly Subscription
Once activated, you pay a fixed monthly fee for ongoing website management. Pricing is agreed upon before service activation and outlined in your service agreement.
Ownership
Redsited retains ownership of all website code, design, content, and infrastructure. You are granted a license to use the website for the duration of active service. Upon cancellation:
- The website is taken offline
- Your license terminates immediately
- We retain all website assets
- You may request an export of your business content (text, images you provided) for a fee
4. Payment Terms
- Monthly fees are billed in advance via automated payment
- All fees are in Canadian dollars (CAD)
- Payments are non-refundable
- Late payments may result in service suspension or termination
- We reserve the right to adjust pricing with 30 days' written notice
5. Client Responsibilities
As a client, you agree to:
- Provide accurate business information and branding materials
- Maintain timely payment of monthly fees
- Respond to requests for content updates or approvals within a reasonable timeframe
- Notify us of any issues with your website promptly
- Comply with all applicable laws and regulations in your business operations
- Not misrepresent your services or engage in fraudulent activity
6. Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We are not liable for downtime due to:
- Scheduled maintenance (announced in advance when possible)
- Third-party infrastructure issues (e.g., hosting providers, DNS)
- Force majeure events (natural disasters, pandemics, etc.)
- Client actions or inactions
7. Cancellation and Termination
By You
You may cancel service at any time with 30 days' written notice. No refunds will be issued for partial months. Upon cancellation, your website will be taken offline and your license will terminate.
By Us
We may terminate service immediately if:
- Payment is more than 15 days overdue
- You breach these Terms
- You engage in illegal activity or misuse our services
- We cease operations (with 60 days' notice when possible)
8. Intellectual Property
All website designs, code, branding elements, and content created by Redsited are our intellectual property. You may not copy, modify, distribute, or reverse-engineer any part of your website.
You retain ownership of any original content you provide (photos, business descriptions, etc.), and grant us a license to use it for the purpose of providing our services.
9. Limitation of Liability
To the maximum extent permitted by law, Redsited is not liable for:
- Lost revenue, profits, or business opportunities
- Indirect, incidental, or consequential damages
- Errors or omissions in website content
- Actions taken by third parties using information from your website
- Incompatibility with third-party services or software
Our total liability for any claim arising from our services is limited to the amount you paid us in the three months prior to the claim.
10. Indemnification
You agree to indemnify and hold Redsited harmless from any claims, damages, or expenses arising from:
- Your use of our services
- Your breach of these Terms
- Your violation of any law or third-party rights
- Content or information you provide to us
11. Privacy and Data
Our collection and use of your personal information is governed by our Privacy Policy. By using our services, you consent to such collection and use.
12. Communications
By providing your phone number, you consent to receive SMS and phone communications from Redsited regarding your service. We use Twilio for communications. Standard message and data rates may apply. You may opt out of marketing messages at any time, but transactional messages (billing, service updates) may still be sent.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Material changes will be communicated via email or SMS. Continued use of our services after changes constitutes acceptance.
14. Dispute Resolution
Any disputes arising from these Terms or our services will be governed by the laws of Manitoba, Canada. Both parties agree to first attempt resolution through good-faith negotiation. If unresolved, disputes will be settled through binding arbitration in Winnipeg, Manitoba, or through the courts of Manitoba.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with any service agreement and our Privacy Policy, constitute the entire agreement between you and Redsited regarding our services.
